End User Licence Agreement (EULA)

TIPME is operated by Arkitecna Hong Kong Ltd, Pioneer Centre, 18/F, 16–18A, 700 Nathan Rd., Kowloon, Hong Kong S.A.R. | Licence No. 78080919

1. Definitions

• "Agreement" — This End User Licence Agreement, together with our Privacy Policy and any additional terms communicated to you.
• "Arkitecna" / "we" / "us" — Arkitecna Hong Kong Ltd, the owner and operator of the TIPME platform.
• "Platform" — The TIPME service, including the website at tipme.it, the Business Dashboard, the guest-facing payment screens, mobile applications (if any), APIs, and all associated software and content.
• "Business User" — A venue, restaurant, bar, hotel, or other hospitality establishment that has registered on the Platform as a partner.
• "Guest" — An end-user who interacts with the guest-facing payment screen to leave a tip.
• "Staff Member" — An individual employed by or associated with a Business User, whose profile may be registered on the Platform by that Business User.
• "Business Account" — The free account type for Business Users, which includes additional features such as the Staff Feedback & Ratings system (TIPME Stars).
• "Content" — Any text, images, data, ratings, feedback, QR codes, or other material uploaded to or generated by the Platform.
• "Stripe" — Stripe, Inc. and its affiliates, the third-party payment processor used by the Platform.
• "Intellectual Property" — All patents, trademarks, trade names, service marks, copyrights, trade secrets, know-how, and any other intellectual property rights.

2. Licence Grant

Subject to your compliance with this Agreement, Arkitecna grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for your internal business purposes (for Business Users) or for personal, non-commercial tipping purposes (for Guests).

This licence does not include the right to:

• Copy, modify, adapt, translate, or create derivative works of the Platform or its underlying software;
• Reverse engineer, decompile, or disassemble any part of the Platform;
• Sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Platform;
• Remove or alter any proprietary notices, labels, or marks on the Platform;
• Use the Platform to build a competing product or service;
• Access the Platform by automated means (scraping, bots, crawlers) without our prior written consent.

3. Account Registration & Security

Business Users must register an account to access the Platform. You agree to:

• Provide accurate, complete, and up-to-date registration information;
• Maintain the confidentiality of your login credentials;
• Notify us immediately of any unauthorised access or suspected breach at tipme@arkitecna.com;
• Accept responsibility for all activity that occurs under your account;
• Not share your account credentials with third parties;
• Ensure that all individuals accessing the Platform through your account comply with this Agreement.

Arkitecna reserves the right to suspend or terminate any account that it reasonably suspects is being used fraudulently, in breach of this Agreement, or in a manner that could harm the Platform or other users.

4. Payments, Fees & Stripe

4.1 Tip Transactions

All tip payments processed through the Platform are handled exclusively by Stripe. By using the Platform to send or receive tips, you agree to be bound by Stripe's Terms of Service and Stripe Connected Account Agreement. TIPME does not store card numbers or bank details. Arkitecna is not responsible for any errors, delays, or failures in payment processing caused by Stripe or the Guest's payment provider.

4.2 No Subscription Fees

Use of the Platform is free of charge. There are no subscription plans and no monthly or annual fees. The only charge is the transaction fee described in Section 4.3.

4.3 Transaction Fees

TIPME may charge a platform service fee on each tip transaction. The applicable fee rate is displayed to Business Users during onboarding and in the Business Dashboard. Arkitecna reserves the right to modify transaction fee rates upon 30 days' notice.

4.4 Account Closure

Business Users may close their account at any time via the Business Dashboard or by contacting tipme@arkitecna.com. Tip transactions, once completed, are final and cannot be reversed by Arkitecna.

5. Feedback & Ratings Feature (TIPME Stars)

5.1 Business Accounts

The Staff Feedback & Ratings feature ("TIPME Stars") is available to Business Accounts at no additional cost.

5.2 Business User Obligations Regarding Staff

Business Users who register staff members on the Platform represent and warrant that they:

• Have informed the relevant staff members that their name, role, photo (if uploaded), and aggregated star ratings will be visible to guests on the payment screen;
• Have obtained any necessary consent or complied with applicable employment and data protection laws before publishing staff profiles;
• Will promptly deactivate staff profiles for individuals who are no longer employed or who withdraw consent;
• Will not use the ratings data in a manner that discriminates against, harasses, or unfairly disadvantages any staff member.

5.3 Anonymous Feedback

Guest feedback (star ratings) is entirely anonymous. TIPME does not associate any feedback with a Guest's identity, device, or personal data beyond the minimum required for fraud prevention. Business Users acknowledge that they will not attempt to reverse-engineer or de-anonymise Guest feedback.

5.4 Integrity of Ratings

Business Users must not solicit, incentivise, coerce, or manipulate Guests to submit specific ratings. Any attempt to artificially inflate or deflate ratings constitutes a material breach of this Agreement and may result in immediate account termination.

6. Acceptable Use Policy

You agree not to use the Platform in any way that:

• Violates any applicable local, national, or international law or regulation;
• Is fraudulent, deceptive, or misleading;
• Infringes the intellectual property, privacy, or other rights of any third party;
• Introduces viruses, malware, or other harmful code;
• Attempts to gain unauthorised access to any part of the Platform or its systems;
• Overloads, damages, or impairs the Platform's infrastructure;
• Uses the Platform to process payments for illegal goods, services, or activities;
• Harasses, intimidates, or harms any other user, staff member, or Arkitecna employee;
• Circumvents any technical measures designed to protect the Platform or its users;
• Attempts to extract, aggregate, or scrape data from the Platform without authorisation.

7. Intellectual Property

7.1 Arkitecna's IP

All rights, title, and interest in and to the Platform — including but not limited to the TIPME name, logo, brand identity, software, algorithms, designs, QR code generation systems, and all content created by Arkitecna — are and remain the exclusive property of Arkitecna Hong Kong Ltd.

7.2 User Content

Business Users retain ownership of content they upload to the Platform (such as staff profile photos and business logos). By uploading Content, you grant Arkitecna a worldwide, royalty-free, non-exclusive licence to host, store, display, and use such Content solely for the purpose of providing the Platform services.

7.3 Feedback to Arkitecna

If you submit suggestions, ideas, or feedback about the Platform to Arkitecna, you grant us an irrevocable, perpetual, royalty-free right to use and incorporate such feedback into the Platform without any obligation to you.

8. Third-Party Services

The Platform integrates with third-party services, including Stripe for payment processing. Your use of these third-party services is governed by their respective terms and privacy policies. Arkitecna is not responsible for the performance, availability, or acts/omissions of any third-party service.

9. Disclaimers & Limitation of Liability

9.1 Platform Provided "As Is"

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARKITECNA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN NO EVENT SHALL ARKITECNA'S TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) HKD 1,000.

9.3 Payment Processing

Arkitecna is not a bank, financial institution, or payment processor. All payment processing is handled by Stripe. Arkitecna Hong Kong Ltd is legally entitled to operate financial services in Hong Kong and its territories under Licence No. 78080919.

10. Indemnification

You agree to indemnify, defend, and hold harmless Arkitecna Hong Kong Ltd and its directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from your use of the Platform, your violation of this Agreement, or your infringement of any third party's rights.

11. Term & Termination

11.1 Term

This Agreement commences on the date you first access the Platform and continues until terminated by either party.

11.2 Termination by You

Business Users may terminate by closing their account and ceasing all use of the Platform.

11.3 Termination by Arkitecna

Arkitecna may suspend or terminate your access with immediate effect for material breach, insolvency, legal requirement, or risk to the Platform or other users.

11.4 Effect of Termination

Upon termination, your licence ceases immediately. Sections 7, 9, 10, 12, and 13 survive termination.

12. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the Hong Kong Special Administrative Region. Disputes shall first be subject to 30 days of good-faith negotiation, then submitted to the exclusive jurisdiction of the courts of Hong Kong S.A.R.

13. General Provisions

• Entire Agreement: This Agreement and the Privacy Policy constitute the entire agreement between the parties.
• Severability: Unenforceable provisions will be modified to the minimum extent necessary; remaining provisions continue in full force.
• Waiver: Failure to enforce any provision does not waive future enforcement rights.
• Assignment: You may not assign this Agreement without Arkitecna's prior written consent.
• Notices: Legal notices to Arkitecna must be sent to tipme@arkitecna.com.
• Force Majeure: Arkitecna is not liable for failures due to circumstances beyond its reasonable control.
• Language: This Agreement is drafted in English. In the event of any inconsistency between translations, the English version shall prevail.
• Updates: Material changes will be communicated by email or Platform notice. Continued use constitutes acceptance.
